Terms of Service

Effective date: January 1, 2025

These Terms of Service ("Terms") govern your access to and use of the Memo platform and services operated by Majora Agency ("we", "us", or "our"). By accessing or using our services, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using Memo, you confirm that you are at least 18 years old, have the authority to bind your organization, and agree to these Terms and our Privacy Policy.

2. Description of Services

Memo is an AI-powered revenue optimization platform for apparel and beauty brands. Services include automated paid media management, SEO content generation, pricing optimization, and performance analytics.

3. Account Responsibilities

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activity occurring under your account
  • Ensuring your use complies with applicable laws and platform policies (Shopify, Meta, Google)
  • Providing accurate information when connecting your data sources

4. Acceptable Use

You agree not to: reverse engineer or attempt to extract source code from our platform; use our services to engage in fraud, spam, or misleading advertising; violate any third-party platform's terms of service; or resell access to our platform without written authorization.

5. Data and Integrations

By connecting your Shopify store, ad accounts, or other integrations, you authorize Memo to access, process, and act on that data as described in our Privacy Policy. You retain ownership of your data at all times.

6. Payment and Billing

Subscription fees are billed in advance on a monthly or annual basis. All fees are non-refundable unless required by law. We reserve the right to modify pricing with 30 days notice.

7. Intellectual Property

Memo and its underlying technology are proprietary to Majora Agency. You are granted a limited, non-exclusive, non-transferable license to use our services during your subscription period.

8. Limitation of Liability

To the maximum extent permitted by law, Memo shall not be liable for indirect, incidental, special, consequential, or punitive damages. Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim.

9. Termination

Either party may terminate the agreement with 30 days written notice. We may suspend or terminate your account immediately for material breach of these Terms.

10. Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict of law provisions. Disputes shall be resolved in the courts of San Francisco County, California.

11. Changes to Terms

We may update these Terms from time to time. We will notify you via email or in-product notice of material changes. Continued use after the effective date constitutes acceptance.
